DATA PROCESSING, FERPA & GDPR ADDENDUM

(Family Educational Rights and Privacy Act (FERPA), General Data Protection Regulation (GDPR), and Data Privacy Addendum)

This Addendum governs the collection, access, use, storage, processing, disclosure, transfer, retention, and protection of Education Records, Personal Data, Student Data, and other information processed by Assessdo in connection with the services provided under the Agreement.

1. PURPOSE

Institution may disclose Education Records, Student Data, Personal Data, and other information to Assessdo solely for the purpose of providing the services described in the Agreement.

The Parties intend that Assessdo shall be considered a School Official with a Legitimate Educational Interest, as those terms are used under FERPA, to the extent applicable, when performing services on behalf of Institution.

Where applicable, Assessdo shall act as a Data Processor (or equivalent role under applicable law) with respect to Personal Data processed on behalf of Institution, which remains the Data Controller (or equivalent role).

Nothing in this Addendum transfers ownership of Institution Data to Assessdo.

2. DEFINITIONS

Education Records

Has the meaning assigned under the Family Educational Rights and Privacy Act (“FERPA”), 20 U.S.C. §1232g and implementing regulations.

Student Data

Any information relating to an identified or identifiable student provided by Institution or collected through the Platform while providing services under the Agreement.

Personal Data

Any information relating to an identified or identifiable natural person as defined by applicable privacy laws, including GDPR where applicable.

Processing

Any operation performed on Personal Data, including collection, storage, organization, use, disclosure, transmission, deletion, or destruction.

Authorized Users

Institution employees, administrators, faculty, advisors, coaches, counselors, contractors, students, and other individuals authorized by Institution to access the Platform.

Confidential Information

All non-public information disclosed by either Party under the Agreement, including Student Data and Education Records.

3. ROLE OF THE PARTIES

Institution determines:

• the purposes of processing;
• the categories of data collected;
• who is authorized to access the Platform;
• retention requirements; and
• lawful bases for processing.

Assessdo processes Institution Data only in accordance with:

• the Agreement;
• documented instructions from Institution;
• applicable law.
  

4. PERMITTED USE OF DATA

Assessdo shall process Institution Data solely to:

• provide contracted services;
• maintain and support the Platform;
• generate reports requested by Institution;
• improve product functionality using aggregated or de-identified information;
• comply with applicable law.

Assessdo shall not:

• sell Personal Data;
• rent Student Data;
• use Institution Data for behavioral advertising;
• create unrelated commercial profiles of students;
• disclose Institution Data except as authorized under this Addendum or required by law.

5. FERPA COMPLIANCE

To the extent FERPA applies:

Assessdo agrees to:

• access Education Records only as necessary to perform services;
• maintain the confidentiality of Education Records;
• not redisclose Education Records except as authorized by Institution or permitted by law;
• use reasonable administrative, technical, and physical safeguards to protect Education Records.
  

Institution remains responsible for:

• determining whether disclosures are authorized under FERPA;
• providing required notices;
• obtaining required consents when applicable;
• responding to parent and eligible student requests.

6. GDPR (WHERE APPLICABLE)

If Institution is subject to the General Data Protection Regulation (EU) 2016/679 (“GDPR”) or the UK GDPR, the following additional provisions apply:

Assessdo shall:

• process Personal Data only on documented instructions from Institution unless required by law;
• implement appropriate technical and organizational measures designed to protect Personal Data;
• ensure personnel processing Personal Data are subject to confidentiality obligations;
• assist Institution, where reasonably requested, in responding to requests from Data Subjects;
• assist Institution with data protection impact assessments where reasonably necessary;
• notify Institution without undue delay after becoming aware of a confirmed Personal Data Breach affecting Institution Data.

Institution acknowledges that it is responsible for identifying the lawful basis for processing Personal Data and for providing any required privacy notices.

7. INFORMATION SECURITY

Assessdo maintains commercially reasonable administrative, technical, and physical safeguards designed to protect Institution Data.

Such safeguards may include:

• encryption in transit using industry-standard TLS;
• encryption at rest where appropriate;
• role-based access controls;
• multi-factor authentication for administrative accounts where supported;
• secure authentication;
• logging and monitoring;
• vulnerability management;
• routine security updates;
• disaster recovery procedures;
• secure development practices.

Assessdo may modify its security controls over time provided that such modifications do not materially diminish the overall security of the Platform.

8. PERSONNEL ACCESS

Assessdo shall limit access to Institution Data to personnel who:

• require access to perform authorized services;
• are bound by confidentiality obligations;
• receive appropriate privacy and security awareness training.

9. SUBPROCESSORS

Assessdo may engage third-party subprocessors to provide hosting, infrastructure, analytics, communication, customer support, or related services.

Assessdo shall require such subprocessors to maintain contractual obligations substantially similar to the confidentiality and security obligations contained in this Addendum.

A current list of subprocessors shall be made available upon reasonable request or through Assessdo’s Trust Center, if maintained.

10. SECURITY INCIDENTS

Assessdo shall notify Institution without unreasonable delay after becoming aware of a confirmed Security Incident involving Institution Data.

Notification may include:

• nature of the incident;
• categories of affected information;
• known impact;
• remediation steps taken;
• recommended mitigation measures.

Assessdo’s notification of a Security Incident shall not constitute an admission of liability or fault.

11. DATA RETENTION & DELETION

Upon expiration or termination of the Agreement, Institution may request that Assessdo:

• return Institution Data in a commercially reasonable format; or
• securely delete Institution Data within thirty (30) days following the request,

unless continued retention is:

• required by law;
• necessary for legal compliance;
• required for disaster recovery backups;
• necessary to establish, exercise, or defend legal claims.

Archived backups shall be securely maintained and automatically removed in accordance with Assessdo’s backup retention schedule.

12. DE-IDENTIFIED & AGGREGATED DATA

Assessdo may create and use de-identified, anonymized, or aggregated data derived from Institution Data for:

• product development;
• benchmarking;
• analytics;
• research;
• service improvements;
• reporting;
• artificial intelligence model improvement;
• statistical analysis.

Such information shall not reasonably identify Institution, students, or individual users.

13. DATA OWNERSHIP

Institution retains all right, title, and interest in its Education Records, Student Data, and Personal Data.

Assessdo retains ownership of:

• software, source code, databases;
• artificial intelligence models and machine learning models;
• scoring methodologies, algorithms, aggregated anonymized analytics
• documentation;
• trademarks, copyrights, and trade secrets;
• product improvements;
• all intellectual property developed independently of Institution Data.

14. AUDIT RIGHTS

Upon reasonable written request, and not more than once annually unless required by law, Assessdo shall provide documentation reasonably necessary to demonstrate compliance with this Addendum, subject to confidentiality, security, and proprietary information restrictions.

Institution agrees that any audit shall not unreasonably interfere with Assessdo’s operations or compromise the security of other customers.

15. CROSS-BORDER DATA TRANSFERS

Where applicable, cross-border transfers of Personal Data shall be conducted using a lawful transfer mechanism recognized under applicable law, such as the European Commission’s Standard Contractual Clauses or another legally recognized transfer mechanism.

16. COMPLIANCE WITH APPLICABLE LAW

Each Party shall comply with all applicable privacy and data protection laws relevant to its obligations under the Agreement, including, where applicable:

• FERPA
• GDPR
• UK GDPR
• U.S. state student privacy laws
• U.S. state consumer privacy laws (where applicable)
• other applicable educational privacy regulations.

17. ORDER OF PRECEDENCE

If a conflict exists between this Addendum and the Agreement regarding the processing or protection of Institution Data, this Addendum shall control solely with respect to those matters.

18. SURVIVAL

The obligations relating to confidentiality, privacy, data protection, information security, audit rights, and data handling shall survive termination or expiration of the Agreement to the extent necessary to fulfill their purpose.

INFORMATION SECURITY ADDENDUM

This Addendum establishes the administrative, technical, and physical safeguards implemented by Assessdo to protect Institution Data, including student information, education records, assessment responses, qualitative insights, analytics, reports, and other confidential information processed through the Assessdo platform.

1. Purpose and Scope

Assessdo provides an intelligence platform designed to transform student voice, engagement data, educator observations, and assessment information into actionable insights that support student success, retention, belonging, and well-being.

The purpose of this Addendum is to define the security controls used by Assessdo to protect Institution Data throughout its lifecycle, including:

• Collection, Transmission, Processing;
• Storage;
• Analysis;
• Reporting;
• Retention;
• Secure deletion.

Assessdo maintains security practices designed to protect the confidentiality, integrity, availability, and privacy of Institution Data while supporting applicable compliance obligations, including:

• Family Educational Rights and Privacy Act (“FERPA”);
• General Data Protection Regulation (“GDPR”), where applicable;
• State student privacy laws;
• Institutional contractual requirements.

2. Definitions

2.1 Institution Data

“Institution Data” means any information provided by, collected on behalf of, or generated for Institution through the Assessdo platform, including:

• Student demographic information;
• Enrollment-related information;
• Student assessment responses;
• Student reflections and qualitative insights;
• Advisor, faculty, coach, or administrator observations;
• Student success indicators;
• Reports and analytics;
• User account information;
• Platform-generated recommendations.

2.2 Personally Identifiable Information (PII)

PII means information that can identify an individual directly or indirectly, including but not limited to:

• Name;
• Student identification number;
• Email address;
• Academic information;
• Demographic information;
• Other information maintained by Institution.

2.3 Security Incident

A Security Incident means any unauthorized access, disclosure, acquisition, alteration, loss, destruction, or misuse of Institution Data.

3. Information Security Program

Assessdo maintains a written Information Security Program designed around commercially reasonable security practices appropriate for an education technology SaaS platform.

The program includes:

• Data governance procedures;
• Security risk management;
• Access control standards;
• Encryption requirements;
• Incident response procedures;
• Business continuity planning;
• Employee security practices;
• Vendor security oversight.

Assessdo periodically evaluates and improves its security practices based on evolving cybersecurity threats and industry standards.

4. Student Data Classification Framework

Assessdo maintains a data classification framework to ensure appropriate protection based on the sensitivity and intended use of information.

4.1 Public Information

Information that is approved for public disclosure and does not contain confidential student or institutional information.

Examples:

• Public marketing materials;
• Publicly available institutional information;
• General platform documentation.

Security Requirement:

Public information does not require restricted access controls but must maintain accuracy and integrity.

4.2 Internal Information

Information intended for authorized institutional or Assessdo operational use.

Examples:

• System documentation;
• Internal procedures;
• Non-sensitive operational communications.

Security Requirement:

Access is limited to authorized users with a legitimate business need.

4.3 Confidential Information

Information that contains institutional or individual information requiring protection.

Examples:

• Student profiles, Advisor notes,
• Assessment results, Student engagement information, and Institutional reports.

Security Requirements:

Confidential Information is protected through:

• Authentication controls;
• Role-based access;
• Encryption;
• Restricted sharing;
• Monitoring

4.4 Restricted Student Information

The highest classification level, including education records and sensitive student-related information protected under applicable laws.

Examples:

• Student assessment responses;
• Emotional well-being indicators, personal reflections and behavioral insights;
• Academic risk indicators;
• Individual student success profiles.

Security Requirements:

Restricted Student Information requires:

• Least privilege access;
• Encryption at rest and in transit;
• Access logging;
• Authorized personnel only;
• Secure data retention and deletion procedures.

Assessdo recognizes that student voice data may contain sensitive personal information and applies heightened safeguards to protect confidentiality.

5. Data Encryption

5.1 Encryption in Transit

Assessdo protects data transmitted between users, applications, and systems using industry-standard encryption protocols.

Controls include:

• TLS 1.2 or higher encryption;
• HTTPS-secured communications;
• Secure API connections.

5.2 Encryption at Rest

Assessdo utilizes encryption technologies designed to protect stored Institution Data, including:

• Encrypted databases;
• Encrypted file storage;
• Protected backup environments.

Encryption keys are maintained using secure access controls.

6. Access Controls and Authentication

Assessdo maintains access management procedures designed to prevent unauthorized access to Institution Data.

Controls include:

• Unique user accounts;
• Authentication requirements;
• Role-based permissions;
• Administrative access restrictions;
• Least privilege access principles.

Where supported, Assessdo may provide:

• Single Sign-On (SSO);
• Multi-factor authentication (MFA);
• Institutional identity integrations.

7. Role-Based Data Access

Access to student information is determined by authorized roles.

Institution Administrators

May:

• Configure institutional settings;
• Manage authorized users;
• Access approved reporting functions.

Advisors, Faculty, Coaches, and Staff

May:

• Access assigned student information;
• Review authorized student insights;
• Support student development activities.

Students

May:

• Complete assessments;
• Review permitted personal information;
• Receive approved feedback.

Assessdo does not permit users to access student information beyond their authorized permissions.

8. AI Data Handling and Model Governance Controls

Assessdo utilizes artificial intelligence, natural language processing, machine learning, and generative AI capabilities to transform student responses and institutional observations into actionable insights.

Assessdo maintains responsible AI practices designed to protect student privacy, promote transparency, and support ethical use.

8.1 AI Data Processing Controls

Assessdo ensures that:

• Institution Data is processed only for authorized purposes;
• Student information is not used for unauthorized commercial purposes;
• Institution Data is not sold;
• Institution Data is not used to train public AI models without explicit authorization.

8.2 Human Oversight and Decision Support

Assessdo AI-generated insights are intended to assist educators, advisors, administrators, and support professionals.

Assessdo does not:

• Make final academic decisions;
• Determine student eligibility;
• Replace professional judgment;
• Automatically assign disciplinary, financial, or academic outcomes.

Institution personnel maintain responsibility for interpreting insights and making decisions.

8.3 AI Explainability

Assessdo is committed to transparency regarding AI-assisted outputs.

Where applicable, Assessdo provides information regarding:

• The purpose of AI-generated insights;
• Data inputs used;
• General methodology;
• Limitations of automated analysis.

AI outputs should be interpreted as decision-support information rather than definitive conclusions about a student.

8.4 AI Bias Monitoring

Assessdo recognizes that AI systems may produce unintended biases.

Assessdo maintains practices designed to:

• Monitor AI-generated outputs;
• Evaluate fairness considerations;
• Reduce inappropriate assumptions;
• Improve model performance over time.

8.5 AI Security Protections

Assessdo implements safeguards designed to protect AI processing environments, including:

• Access restrictions;
• Secure processing environments;
• Data protection controls;
• Monitoring of system activity.

9. Incident Response

Assessdo maintains an incident response process designed to:

1. Identify security events;
2. Contain potential threats;
3. Investigate impact;
4. Restore affected services;
5. Implement corrective actions.

10. Security Incident Notification

If Assessdo determines that Institution Data has been compromised through unauthorized access or disclosure, Assessdo will:

• Notify Institution without unreasonable delay;
• Provide available details regarding the incident;
• Identify affected systems or data categories;
• Describe corrective actions.

Notification will comply with applicable legal and contractual requirements.

11. Disaster Recovery and Business Continuity

Assessdo maintains procedures designed to support continued operation and recovery following disruptive events.

Controls include:

• Regular backups;
• Recovery procedures;
• System restoration processes;
• Operational continuity planning.

Assessdo periodically reviews recovery procedures to improve reliability.

12. Backup and Data Recovery

Assessdo maintains backup procedures designed to protect Institution Data from:

• Accidental deletion;
• System failure;
• Security incidents;
• Infrastructure disruption.

Backups are protected through appropriate security controls.

13. Vulnerability Management

Assessdo maintains reasonable processes to identify and address vulnerabilities.

Practices may include:

• Security updates and software patching;
• Dependency monitoring;
• Code review;
• Risk-based remediation.

14. Logging and Monitoring

Assessdo maintains security monitoring practices designed to identify unusual or unauthorized activity.

Monitoring may include:

• User authentication events;
• Administrative actions;
• System activity;
• Security alerts.

15. Data Retention and Secure Disposal

Assessdo retains Institution Data only as necessary to provide contracted services or satisfy legal obligations.

Upon termination:

• Data may be returned upon Institution request;
• Data may be deleted according to contractual requirements;
• Backup copies may be removed according to retention schedules.

Secure disposal methods are designed to prevent unauthorized recovery.

ACCEPTABLE USE POLICY AND STUDENT VOICE DATA ETHICS PRINCIPLES

This Policy establishes appropriate use requirements for the Assessdo platform, including its software applications, assessment tools, artificial intelligence capabilities, analytics functions, reporting features, and related services (“Services”).

Assessdo is designed to help educational institutions better understand student experiences by transforming student voice, self-reflections, qualitative insights, engagement indicators, advisor and educator observations, and growth measurements into actionable information that supports student success, belonging, persistence, and development.

Because student voice data may include personal experiences, perspectives, emotions, challenges, and aspirations, Assessdo establishes additional ethical principles governing the responsible use of this information.

1. Purpose and Guiding Principles

The purpose of this Policy is to ensure that Assessdo is used in a manner that:

• Protects student privacy and dignity;
• Promotes trust between students and institutions;
• Supports ethical decision-making;
• Prevents misuse of student information;
• Maintains transparency regarding artificial intelligence;
• Encourages student growth and success.

Assessdo believes technology should enhance human relationships—not replace them.

2. Scope

This Policy applies to all authorized users of Assessdo, including:

• University administrators;
• Academic advisors;
• Faculty members;
• Student affairs professionals;
• Coaches;
• Counselors;
• Program directors;
• Institutional researchers;
• Students; 

Institution is responsible for ensuring authorized users understand and comply with this Policy.

3. Authorized Use of Assessdo

Assessdo may be used for legitimate educational purposes, including:

Assessdo may support:

• Self-awareness development;
• Goal setting;
• Personal growth tracking;
• Leadership development;
• Academic success planning;
• Career readiness initiatives.

3.3 Program Evaluation and Institutional Improvement

Institutions may use aggregated insights to:

• Evaluate student programs;
• Improve first-year experiences;
• Understand student needs;
• Assess institutional effectiveness.

4. Student Voice Data Ethics Principles

Assessdo recognizes that student voice data is more than information—it represents a student’s experiences, perceptions, challenges, and personal journey.

The following principles govern the responsible use of student voice information.

4.1 Principle of Respect and Dignity

Student responses, reflections, and insights must be treated as personal expressions deserving respect and confidentiality.

Users shall:

• Consider the context behind student responses;
• Avoid assumptions based on limited information;
• Recognize that students may share vulnerable experiences;
• Use information to support, not judge, students.

Student voice data should never be used to embarrass, punish, or unfairly categorize a student.

4.2 Principle of Purpose Limitation

Student information collected through Assessdo must only be used for legitimate educational purposes.

Approved purposes include:

• Institutional improvement;

Student voice information shall not be repurposed for unrelated activities without appropriate authorization.

4.3 Principle of Transparency

Students should understand:

Institutions are encouraged to communicate clearly with students regarding the role of Assessdo in supporting their educational experience.

4.4 Principle of Student Agency

Assessdo encourages students to actively participate in understanding their own growth.

Student information should be used to:

• Support conversations;
• Promote self-awareness.

Students should not be reduced to scores, labels, or predictions.

4.5 Principle of Contextual Interpretation

Assessdo insights must be interpreted within the broader context of each student’s experience.

Users should consider:

• Cultural background;
• Academic environment, student goals, and available support systems.

Assessdo outputs should inform conversations, not replace conversations.

4.6 Principle of Human Responsibility

Human professionals remain responsible for decisions involving students.

Assessdo does not replace:

• Advisors;
• Faculty;
• Counselors;
• Coaches;
• Student success professionals.

AI-generated insights and analytics are intended to support professional judgment.

5. User Responsibilities

Authorized users agree to:

• Maintain confidentiality;
• Use information only for approved purposes;
• Protect student privacy;
• Follow institutional policies;
• Protect account credentials;
• Report misuse or security concerns.

Users may only access information necessary to perform their assigned responsibilities.

6. Protection of Student Information

Users must protect:

• Student assessments;
• Student reflections;
• Emotional and engagement indicators;
• Advisor observations;
• Reports;
• AI-generated insights.

Users shall not:

• Share student information through unauthorized channels;
• Download or distribute information unnecessarily;
• Discuss identifiable student information outside appropriate professional settings.

7. Prohibited Uses

Users may not use Assessdo to:

7.1 Make Automated High-Impact Decisions

Assessdo information may not be used as the sole basis for:

• Admissions decisions;
• Academic dismissal;
• Financial aid decisions;
• Disciplinary actions;
• Employment decisions;
• Eligibility determinations.

7.2 Student Surveillance

Assessdo may not be used to:

• Monitor students without appropriate authorization;
• Track personal behavior unrelated to educational purposes;
• Create unauthorized student profiles.

7.3 Discrimination or Bias

Users may not use Assessdo information to:

• Discriminate against students;
• Make decisions based on protected characteristics;
• Create unequal opportunities.

7.4 Unauthorized Data Collection

Users may not:

• Collect unnecessary information;
• Request information unrelated to educational purposes;
• Upload information without appropriate authority.

8. Responsible Artificial Intelligence Use

Assessdo incorporates artificial intelligence capabilities to assist with:

• Pattern identification;
• Summary generation;
• Qualitative analysis;
• Student success insights.

Users acknowledge:

• AI outputs may contain limitations;
• AI-generated information requires professional review;
• AI should support—not replace—human judgment.

Users shall not present AI-generated content as independent human analysis without appropriate review.

9. Student Responsibilities

Students using Assessdo agree to:

• Provide truthful information;
• Use respectful language;
• Protect account credentials;
• Avoid harmful or unlawful content.

Students are encouraged to use Assessdo as a tool for reflection, self-awareness, goal setting, and personal growth.

10. Platform Security Requirements

Users may not:

• Attempt unauthorized access;
• Circumvent security controls;
• Introduce malware;
• Reverse engineer the platform;
• Disrupt platform operations.

11. Data Upload Requirements

Institution represents that information uploaded into Assessdo:

• Has been legally collected;
• May be processed for authorized purposes;
• Complies with applicable privacy requirements.

Institution remains responsible for ensuring appropriate rights and permissions exist for submitted data.

12. Third-Party Integrations

When Assessdo integrates with institutional systems, including:

• Student Information Systems;
• Learning Management Systems;
• Identity platforms;
• Data warehouses;

access must follow approved permissions and security configurations.

13. Reporting Misuse or Concerns

Users should report:

• Privacy concerns;
• Unauthorized access;
• Security incidents;
• Ethical concerns;
• Inappropriate use.

14. Enforcement

Failure to comply with this Policy may result in:

• Removal of access privileges;
• Investigation;
• Corrective action;
• Notification to Institution administrators;
• Termination of platform access.

Assessdo and Institution reserve the right to take action necessary to protect students, data, and platform integrity.

15. Policy Updates

Assessdo may update this Policy to reflect:

• Security improvements;
• Technology advancements;
• Regulatory requirements;
• Responsible AI practices.

Material changes affecting Institution obligations will be communicated appropriately.

16. Acknowledgment

The parties acknowledge that student information represents a relationship of trust between students and educational institutions.

Assessdo, Institution, and authorized users agree that student voice data should be used responsibly to:

• Understand students better; provide meaningful support; strengthen relationships; and improve educational outcomes.

AI TRANSPARENCY, RESPONSIBLE USE POLICY AND AI STUDENT SUCCESS INSIGHT FRAMEWORK

This Policy establishes the principles, standards, governance practices, and responsible use requirements governing Assessdo’s use of artificial intelligence (“AI”), machine learning, natural language processing (“NLP”), speech intelligence, analytics, and related technologies within the Assessdo platform (“Platform”).

Assessdo is an AI-powered student development intelligence platform designed to transform student voice, self-reflections, engagement indicators, educator observations, and growth data  into meaningful insights that help institutions better understand, support, and develop students.

Assessdo’s AI capabilities are designed to augment human relationships, not replace them.

1. Purpose and AI Commitment

Assessdo recognizes that artificial intelligence presents an opportunity to improve how educational institutions understand and support students while requiring strong safeguards around privacy, fairness, transparency, and human responsibility.

Assessdo is committed to AI practices that:

• Protect student privacy and confidentiality;
• Promote responsible innovation;
• Maintain human oversight;
• Support equitable student success;
• Provide transparency regarding AI-generated insights;
• Prevent misuse of student information.

Assessdo believes the most effective student success technology combines:

2. Scope
